Welcome to Good Hope Way Foundation, Inc. (“Good Hope” or “we,” “us,” “our”). We are a nonprofit organization dedicated to helping patients securely store and manage their personal health data. We do so through a software application known as “Huddle” (the “Application”) accessible through our website (the “Site”), collectively referred to as the “Platform”.
By accessing or using the Platform you (“User” or “You”) agree to abide by these Terms of Use (“Terms”). If you do not agree to these Terms or to our Privacy Policy (collectively referred to as the “Agreements”), you must discontinue use of the Platform.
OUR MISSION
As a nonprofit organization, Good Hope’s primary goal is to empower you to own and control your health data. We do not sell or monetize user data in any form.
ACCEPTABLE USE
Good Hope grants You, the user, a limited, non-exclusive, non-transferable right to use the Platform solely within the United States of America and exclusively for the purpose of managing your personal health data or that of an individual who has expressly authorized you to do so.
You may not:
● Use the Platform for any other purpose or outside of the United States of America, or if you are not a resident of the United States of America.
● Use the Platform for any illegal or unauthorized purpose or activity.
● Upload or share any material that infringes any third-party’s rights (including privacy, publicity, and intellectual property rights).
● Circumvent security measures, introduce viruses, or disrupt the Platform’s functionality.
By using the Platform, You agree to comply with and to be bound by the Agreements. If You disagree with the Agreements, You are not authorized to use the Platform.
INTELLECTUAL PROPERTY
All content on the Platform – including, but not limited to, text, graphics, images, code, illustrations, designs, icons, their arrangement, their look and feel, and intellectual property (collectively referred to as the “Content”) is owned by or licensed to Good Hope and protected by copyright, trademark, patent, and/or other intellectual property laws. Any unauthorized use of the Content may violate such laws and is in violation of these Terms. Except as expressly permitted under the heading “Acceptable Use” above, you may not:
● Copy, reproduce, republish, frame, download, transmit, modify, display, reverse engineer, create derivative works from, the Content or Platform.
● Sell, rent, lease, loan, assign, distribute, license, sublicense, or exploit any part of the Content or Platform in any way or participate in any such transaction.
CONSENT TO USE INFORMATION FOR THE SERVICES
By inputting data into the Platform, you authorize Good Hope, and its third-party service providers, to store, process, and display that information so you can manage your health records. If you share or transmit your information to a third party (e.g., a healthcare provider), you acknowledge that Good Hope’s role is merely to facilitate that transfer at your request.
You also consent to:
● Good Hope using your information, or information which you are authorized to provide to Good Hope, to deliver Platform features, related services, and other information and services provided by Good Hope.
● Sharing your information with third-party service providers as necessary to provide any Good Hope services.
● Receiving communications (e.g., security alerts, feature updates) via the contact information you provide. Promotional messages require your opt-in consent.
The Platform may include features which require your authorization or consent, and upon initiating the request through the applicable feature, you expressly acknowledge your consent to transmit the information for the intended purpose. In the event you choose to use the Platform to share Your information with a third party, or authorize a third party to access Your information, You expressly authorize Good Hope to transmit or otherwise make the information available to that third party, inluding but not limited to, sensitive health data. Good Hope acts solely as a facilitator for such transfers.
If you manage or input data for another person (e.g., a minor, an elderly family member), you confirm that you have the legal authority to do so.
You agree that Good Hope may share your information with third-party service providers (e.g. for web and data hosting) as needed to operate the Platform and provide the Good Hope services.
YOUR RELATIONSHIP WITH GOOD HOPE
You acknowledge and agree that:
You are choosing to use the Platform to store your healthcare information, and by entering into these Terms are creating a distinct relationship solely and directly between You and Good Hope.
You have chosen to use the features of the Platform of your own volition, and any storing or sharing of information is a decision solely by you.
Your relationship with Good Hope is not related to any healthcare treatment or other relationship you may have with a physician, insurance company, or other provider of healthcare services.
We aim to protect your information with robust privacy and security measures and we require any third-party service providers to do the same, but we are not providing medical services and the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations do not apply to Your relationship with Good Hope. Good Hope is not acting as a Business Associate or Covered Entity as those terms are defined by HIPAA. The health information you provide to Good Hope is not protected health information (PHI) as defined by HIPAA. Once in Good Hope’s possession, other federal and state privacy laws may not apply to your healthcare information.
You are responsible for obtaining access to the Platform and paying any applicable fees including but not limited to Internet service provider or airtime charges. In addition, You must provide and are responsible for all equipment necessary to access the Platform. You may not bypass any measures that have been implemented to prevent or restrict access to the Platform. Any unauthorized access to the Platform by You (including any such access or use that involves in any way an account You may establish on the Platform or any device You may use to access it) shall terminate the permission or license granted to You by Good Hope.
CONSENT TO CONTACT
You consent to Good Hope contacting You via your account information for services related purposes. You expressly permit Good Hope to send such communications to your mobile phone or other device using SMS text messages. Standard data fees and text messaging rates may apply Mobile access and text message delivery is subject to your mobile carrier network availability and is not guaranteed by Good Hope. You may opt out of SMS text delivery at any time by following instructions in the text message.
THIRD-PARTY CONTENT
The Platform may include information, data, and services provided by third parties, including, but not limited to images, text, graphics, educational content, drug pricing information, coupon information, healthcare data, and/or software applications (“Third-Party Content”). Good Hope does not verify the accuracy, appropriateness, or compatibility of such content. Third-Party Content may be governed by separate license agreements that accompany such content. You should review the applicable terms of services and any other policies of any website to which You navigate. If You decide to access third-party websites or content, You do so at Your own risk and You are hereby advised that our Terms do not govern such access. To the extent the Good Hope Platform includes links to outside services and resources, You acknowledge that Good Hope is not responsible for the content of any linked site, or any link contained in a linked site, or any changes or updates to such sites. Good Hope offers no guarantees and assumes no responsibility or liability of any type with respect to the Third-Party Content, including any liability resulting from incompatibility between the Third-Party Content and the Content offered by Good Hope.
Links to third-party sites are provided for convenience only, without endorsement. You access third-party content or sites at your own risk, and Good Hope is not responsible or liable, directly or indirectly, for any damage, loss or liability caused or alleged to be caused by or in connection with any use of or reliance on any content, products or services available on or through any such linked site or resource. Any issues or concerns regarding any such site should be directed to the owner or operator of that resource or site.
DATA YOU PROVIDE
You represent and warrant that you have all rights, permissions, and authority under applicable state, federal, and local law to provide to Good Hope any information stored, used, uploaded, transferred, or otherwise provided by You to the Platform. Further, and without limitation, if You are using the Platform to manage the information of a third party, you represent and warrant that you have all necessary permissions from that third party and as required under applicable law and that, as applicable, you are a guardian, personal representative, or other authorized steward of such information, and, as applicable, that any such third parties have authorized your sharing of their information to Good Hope or other third parties through the Platform. Good Hope reserves the right to eliminate your access to the Platform if Good Hope discovers at any time that the representations and warranties in this section are or have become, in whole or in part, false or otherwise inaccurate.
You retain ownership of the personal health information you upload. By submitting content to the Platform, you grant Good Hope a limited license to host and process your data as necessary to provide the services.
PROHIBITED USE
You may not:
● Download, copy or otherwise use the Platform or Content for any purpose other than the express permissions set forth in these Terms, whether for your own benefit or for the benefit of any third party.
● Cache, link to, frame, modify, distribute, or reverse engineer the Platform or Content without permission.
● Modify, distribute, transmit, broadcast, publish, upload, license, reverse engineer, transfer, or sell any Content or the Platform and you may not create derivative works from any Content or the Platform.
● Upload viruses or malicious code or post or transmit any material that contains software viruses, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer.
● Use any hardware or software intended to surreptitiously intercept or otherwise obtain any information (such as system data or personal information) from the Platform.
● Engage in any action that imposes or may impose (as determined in Good Hope’s sole discretion) an unreasonable or disproportionately large load on Good Hope’s infrastructure, or damage or interfere with the proper working of Good Hope’s infrastructure.
● Take any action that is intended to, or does, allow unauthorized access to the Platform, disable, bypass, defeat, avoid, remove, deactivate or otherwise circumvent any technical measures Good Hope has implemented to safeguard the stability of the Platform, or the confidentiality, integrity or availability of any information, content or data hosted or housed on the Platform.
● Upload or transmit materials that are unlawful, harmful, or infringe the rights of others.
NO MEDICAL OR LEGAL ADVICE
The Platform is provided for informational purposes only. Good Hope does not provide legal, regulatory, or medical advice of any kind and no attorney/client or physician/patient relationship is created by Your use of the Platform. Good Hope does not ensure the completeness, timeliness or accuracy of the Content. No Content or other information on the Platform is a substitute for professional medical or legal advice.
You may be able to access electronic medical records or associated health care information through the Platform. If you are seeking a full copy of your electronic medical record, you must contact your health care provider directly. In the event You print, download, or otherwise store any portion of the Content presented in the Platform, which may contain your private health information, Good Hope is not responsible for the protection or the privacy and security of such information, and completely disclaims all liability from any further use and/or disclosure of your private health information associated with such saved content.
If you are experiencing a medical emergency or any event requiring prompt medical treatment, do not use the Platform to seek care or to contact a healthcare professional. Immediately seek professional medical care or dial 9-1-1.
TERMINATION AND ACCESS RESTRICTION
You may stop using the Platform at any time. If you wish to delete your account or remove data, refer to our Privacy Policy. Certain legal obligations may require us to retain some data (e.g., if bound by court order, subpoena or statute).
Good Hope reserves the right to terminate or restrict your account if you violate these Terms, violate any third-party rights, or engage in disruptive or fraudulent activities. Good Hope also reserves the right to refuse or cancel any person’s registration to access the Platform, remove any person from the Platform and prohibit any person from using the Platform for any reason whatsoever, and to limit or terminate Your access to or use of the Platform at any time without notice. Termination of Your access or use will not waive or affect any other right or relief to which Good Hope may be entitled, at law or in equity.
DISCLAIMERS AND WAIVER
Except as otherwise expressly provided in these terms of use, or required by applicable law, Good Hope makes no representations, covenants or warranties and offers no other conditions, express or implied, regarding any matter related to your use of the Platform.
The Platform is provided on an “as is” and “as available” basis. Good Hope does not warrant nor represent that Your use of the Content or Platform will not infringe rights of third parties not affiliated with Good Hope. Good Hope disclaims any warranties to you that access to the Platform will be uninterrupted or error-free; that the Platform will be secure, except as may be required by applicable law; that the Platform or the server that makes it available will be virus-free; or that information or Content on the Platform will be correct, accurate, adequate, useful, timely, reliable or otherwise complete (including, but not limited to, drug interaction information and pricing information). You agree that Good Hope will not be held liable for your use of the content provided through the Platform, data accessible therefrom, or any decision made using the content available through the Platform. If you download any content from the Platform, you do so at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any such content. No information obtained by you from the Platform shall create any warranty of any kind. Your sole remedy against Good Hope for dissatisfaction with the Platform is to stop using it.
You hereby release and forever waive any and all claims you may have against Good Hope, its officers, directors, employees, agents, contractors, information providers or suppliers for losses or damages you sustain in connection with your use of the Platform, or arising under the telephone consumer protection act or similar state law or regulation related to receiving calls or text messages to which you have consented, including, but not limited to, by agreeing to these terms.
To the fullest extent permitted by law, Good Hope is not liable for any damages resulting from use of the Platform, whether direct, indirect, incidental, punitive, or consequential.
INDEMNITY
You agree to indemnify and hold harmless Good Hope from and against any and all fines, penalties, liabilities, losses and other damages of any kind whatsoever (including attorneys and experts fees), incurred by Good Hope, and shall defend Good Hope against any and all claims arising out of (a) Your breach of the Terms; (b) fraud You commit, or Your intentional misconduct or negligence; or (c) Your violation of any applicable state, federal, local, or foreign law or the rights of a third party. Good Hope will control the defense of any claim to which this indemnity may apply, and in any event, You shall not settle any claim without the prior written approval of Good Hope.
DISPUTES
If any of the provisions set forth in these Terms are deemed invalid, void, or for any reason unenforceable, the parties agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the unenforceable condition shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions of these Terms. Section headings are for reference purposes only and do not limit the scope or extent of such sections. These Terms and the relationship between You and Good Hope will be governed by the laws of the State of Florida without regard to its conflict of law provisions. Any dispute arising out of these Terms or Your use of the Platform shall be subject to the exclusive jurisdiction and venue of courts in the State of Florida. This agreement is not subject to the Uniform Computer Information Transactions Act.
Good Hope makes no representation that information, software and/or documentation on the Platform are available for viewing or downloading at locations outside the United States, nor that the Platform complies with any foreign laws, and You are prohibited from accessing the Platform outside of the United States. The Platform is expressly not intended for use in the European Union or by any individual inside or resident of a European Union member state or any jurisdiction subject to the laws of the European Union.
MODIFICATION OF TERMS
Good Hope may modify, add, or remove any portion of these Terms of Use at any time at its sole discretion. Good Hope will notify you of changes via posting revised Terms marked with an effective date on the Platform. It is Your responsibility to review the Platform and communications from Good Hope periodically so that you will be informed of any changes Your continued use after notice of any changes to the Terms means You accept the modifications.
ENTIRE AGREEMENT
These Terms and the Privacy Policy constitute the entire agreement and understanding between You and Good Hope regarding the Platform and supersede all prior communications between the parties with respect to the Platform.
